These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between Tera Algorithm Cloud Technology PLT ("Inxides", "we", "us", or "our") and the person or entity accessing or using the Service ("you" or the "Account Holder").

BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

1. Scope of Service

1.1 Inxides provides access to cloud-based accounting software and related features via password-protected websites (the "Service").

​

1.2 The Service is provided strictly on a software-as-a-service (SaaS) basis. Unless expressly agreed in writing, Inxides does not provide accounting, tax, legal, or professional advisory services.

​

1.3 You acknowledge that the Service is a tool to assist with record-keeping and financial management only, and that responsibility for compliance with all applicable laws, regulations, and filing obligations remains solely with you.

​

2. Account Registration and Authority

2.1 An Inxides account is created upon our acceptance of your application ("Inxides Account").

​

2.2 By registering for an Inxides Account, you represent and warrant that: (a) you have full legal capacity and authority to enter into these Terms; and (b) where you act on behalf of an entity, you are duly authorised to bind that entity.

​

2.3 We reserve the right, at our absolute discretion, to accept or reject any application without providing reasons. No fees shall be charged for rejected applications.

​

3. Fees, Taxes, and Payment Processing

3.1 Subscription fees are payable in advance in accordance with the pricing plans displayed on our website.

​

3.2 All fees are exclusive of applicable taxes, duties, levies, or government charges, which shall be borne by the Account Holder in accordance with Malaysian law.

​

3.3 Payments may be processed through third-party payment service providers, including but not limited to Stripe. You acknowledge that: (a) payment processing is subject to the terms and conditions of the relevant payment provider; (b) Inxides has no control over and accepts no responsibility for payment gateway failures or delays; and (c) all transaction-related charges, including payment gateway fees, bank charges, and foreign exchange fees, shall be borne by the Account Holder.

4. Non-Payment

4.1 Failure to pay any fees when due entitles Inxides, without prejudice to its other rights, to suspend or terminate access to the Service.

​

4.2 We are under no obligation to provide the Service while any amount remains outstanding.

​

5. Licence and Permitted Use

5.1 Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for internal business purposes.

​

5.2 You shall not: (a) sublicense, sell, resell, or commercially exploit the Service; (b) reverse engineer or modify the Service; or (c) permit unauthorised third-party access.

​

6. Account Security and Responsibilities

6.1 You are solely responsible for safeguarding all login credentials and for all activities conducted under your Inxides Account.

​

6.2 Any access granted to employees, agents, or third parties is at your own risk, and you remain fully liable for compliance with these Terms.

​

7. Suspension and Termination

7.1 Inxides may suspend or terminate the Service immediately if you breach these Terms or fail to make payment when due.

​

7.2 Where reasonably practicable, we shall provide one (1) month’s prior notice before suspension or termination for non-payment or convenience.

​

7.3 No refunds shall be payable upon suspension or termination.

​

8. Cancellation and Refund Policy

8.1 You may cancel your Inxides Account by providing written notice to support@inxides.com.

​

8.2 Subscription fees paid are non-refundable, except that refund requests submitted within thirty (30) days from the initial registration date may be considered at our sole discretion.

​

8.3 Where a refund is approved: (a) all third-party transaction fees, including payment gateway fees (e.g. Stripe), bank fees, and foreign exchange charges, shall be borne by the Account Holder; and (b) such fees shall be deducted from the refund amount.

​

8.4 No refunds shall be granted for renewals, partial usage periods, or termination due to breach.

​

9. Data Retention and Export

9.1 Upon cancellation, your data will be retained for six (6) months, during which you may reactivate your account.

9.2 After the retention period, all data shall be permanently deleted.

9.3 You may export your data in Excel format at any time while your account remains active.

​

10. Availability and Maintenance

10.1 While we endeavour to maintain availability, the Service is provided on an "as is" and "as available" basis.

​

10.2 We do not warrant uninterrupted, secure, or error-free operation.

​

11. Intellectual Property

11.1 All intellectual property rights in the Service belong exclusively to Inxides or its licensors.

​

11.2 You retain ownership of all intellectual property rights in Your Data.

​

12. Limitation and Exclusion of Liability

12.1 To the fullest extent permitted by law, Inxides excludes all liability for indirect, incidental, consequential, or economic loss.

​

12.2 Our total aggregate liability shall not exceed the subscription fees paid by you in the one (1) month preceding the event giving rise to the claim.

​

12.3 Nothing in these Terms limits liability for fraud, wilful misconduct, or matters that cannot be excluded under Malaysian law.

​

13. Indemnity

You agree to indemnify and hold Inxides harmless against all losses, costs, and expenses arising from your breach of these Terms.

​

14. Data Protection

We process personal data in accordance with applicable data protection laws and our Privacy Statement.

​

15. Force Majeure

Inxides shall not be liable for failure or delay caused by events beyond its reasonable control.

​

16. Entire Agreement and Assignment

These Terms constitute the entire agreement between the parties. We may assign or subcontract our rights and obligations. You may not assign without our prior written consent.

​

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia, and the courts of Malaysia shall have exclusive jurisdiction.

​

18. Definitions

"Account Holder" means a sole trader, partnership, company, or other legal entity that holds an Inxides Account.

​

"Inxides Account" means an active subscription to the Service.

​

"Service" means the Inxides accounting software accessed via our password-protected websites.

​

"we", "us", or "our" refer to Tera Algorithm Cloud Technology PLT.

​

"you" or "your" refer to the Account Holder.

​

"Your Data" means all data, information, and content entered, uploaded, or otherwise provided by you in connection with your use of the Service.
